Position Overview

CRDB Bank Plc is seeking a highly skilled and experienced professional to join our team as Legal Manager – Contracts Management. This critical role involves overseeing the entire contract lifecycle to ensure adherence to legal standards, company policies, and business goals. The successful candidate will be responsible for drafting, reviewing, negotiating, and managing diverse contracts while providing strategic legal insights to minimize risk and promote compliance.

Key Responsibilities

1. Contract Drafting and Review:

  • Draft, review, and negotiate contracts such as vendor agreements, customer agreements, NDAs, service-level agreements, and procurement contracts.
  • Ensure all agreements comply with legal and business requirements.

2. Contract Negotiation:

  • Lead negotiations to secure favorable terms and reduce risks.
  • Act as the primary liaison for internal stakeholders during negotiations.

3. Risk Management:

  • Identify potential risks and ambiguities in contracts.
  • Develop and implement strategies for mitigating risks and resolving disputes.

4. Compliance and Legal Advisory:

  • Ensure all contracts align with applicable laws, regulations, and internal policies.
  • Provide sound legal advice to internal teams on contract and compliance matters.

5. Contract Lifecycle Management:

  • Implement systems to track deadlines, renewals, and obligations.
  • Maintain a centralized, well-organized database for all contracts.

6. Policy Development and Training:

  • Develop and revise contract management policies, templates, and procedures.
  • Conduct training for staff on contract negotiation, compliance, and best practices.

7. Stakeholder Collaboration:

  • Work closely with teams such as procurement, sales, finance, and operations to address contract-related queries.
  • Act as the legal department’s point of contact for external stakeholders, including vendors, clients, and legal counsel.

8. Reporting and Analytics:

  • Prepare comprehensive reports on contract statuses, risk assessments, and performance metrics.
  • Use analytics to enhance efficiency in contract management processes.

Desired Skills and Qualifications

  • Education: Bachelor’s Degree in Law (LL.B) from a recognized institution; a Master’s Degree is an added advantage.
  • Legal Accreditation: Admission as an Advocate of the High Court.
  • Experience: Minimum of 5 years in a similar role, preferably within the banking sector.
  • Technical Skills: Strong understanding of contract law, litigation skills, and proficiency in contract management tools.
  • Languages: Proficiency in English and Kiswahili.
  • Key Attributes: Analytical thinking, excellent negotiation, interpersonal and communication skills, problem-solving ability, and a collaborative work ethic.
