Role Purpose
As a Legal Manager – Contracts, you will play a key leadership role in managing the bank’s contractual engagements, ensuring compliance with banking regulations, mitigating legal risks, and safeguarding business interests. Reporting to the Company Secretary & Head of Legal, you will be instrumental in drafting, negotiating, and advising on various contracts, particularly credit and financial agreements.
Your Key Responsibilities
📜 Contract Drafting, Review & Negotiation
✔ Lead the drafting, review, and negotiation of commercial, credit, and financial agreements in compliance with applicable laws.
✔ Work closely with finance, risk, compliance, and product teams to align contracts with business objectives.
✔ Provide strategic legal guidance to senior management, ensuring contracts meet both legal and regulatory requirements.
✔ Participate in high-level contract negotiations, collaborating with external advisors when necessary.
⚖️ Legal Risk Management & Compliance
✔ Assess and mitigate legal risks associated with contracts, with a strong focus on credit and commercial agreements.
✔ Stay ahead of evolving banking regulations, ensuring contracts remain compliant with industry standards.
✔ Resolve contract disputes effectively, utilizing mediation, negotiation, or legal proceedings where necessary.
📂 Contract Management & Administration
✔ Oversee and maintain the bank’s contract database, ensuring agreements are well-organized and easily accessible.
✔ Ensure timely execution, renewal, or termination of contracts, maintaining an up-to-date contract register.
✔ Act as the custodian of all legal agreements, ensuring their integrity and adherence to compliance policies.
📢 Training, Advice & Stakeholder Engagement
✔ Provide internal training on best practices in contract management and regulatory compliance.
✔ Prepare legal opinions and advisory reports on contract-related matters and innovative banking products.
✔ Assist in developing policies and procedures that support efficient and legally sound contract management.
🛡️ Dispute Resolution & Advisory
✔ Play a lead role in handling contract-related disputes, particularly in credit and regulatory matters.
✔ Offer strategic advice to senior management on litigation, compliance, and risk mitigation.
What You’ll Need to Succeed
🎓 Qualifications
✔ LL.B Degree in Law (Master’s degree or professional certifications like LL.M, CCL are a plus).
✔ Must be a Registered Advocate with the relevant regulatory body.
✔ 5+ years of experience in contract management, preferably within the banking or financial services sector.
✔ Strong background in contract law, financial law, and banking regulations.

✔ Deep knowledge of corporate law, risk management, and compliance in financial institutions.
✔ Proven experience in drafting, negotiating, and managing complex contracts and credit agreements.
